These terms are an agreement between you and 1001613716 Ontario Inc., operating as webfaCeMEdia ("webfaCeMEdia", "we", "us"), 57 Finch Ave West, Toronto, Ontario M2N 0K9, Canada, for your use of webfaCe Inbox, a Google Workspace add-on for Gmail (the "Service"). If you use the Service for a business, you accept these terms for that business and confirm you are authorized to do so. If you do not agree, do not install or use the Service.
1. The Service
webfaCe Inbox shows information from the webfaCe systems your business uses (such as its CRM, webfaCe Bookings, client website records and website chat) beside an email you open in Gmail, and can create reply drafts in Gmail when you ask. It does not send email. Features may change over time; we will try to give notice before removing a feature you rely on.
2. Who can use it
- The Service is for businesses that have a webfaCe account with webfaCeMEdia, and for people those businesses enable. Without an enabled account, the panel shows a notice and no business information.
- You must be at least 18 and able to enter a binding contract.
- You must use the Service with a Google account you are authorized to use, and follow Google's terms for Gmail and Google Workspace.
3. Fees
webfaCe Inbox is included with webfaCe plans. Fees, billing and plan terms are set by your business's agreement with webfaCeMEdia. If that agreement ends, access to the Service may end with it.
4. Drafts and your responsibility for what you send
- Reply drafts are written from the email you have open and the records your business holds. They can be incomplete or wrong. Where we don't have a fact, the draft leaves a placeholder such as [fill in: price].
- You are responsible for reviewing, editing and deciding whether to send every draft, and for what you send. Do not rely on a draft for legal, medical, financial or other professional advice.
- You are responsible for the accuracy of the details you save to your CRM through the Service.
5. Your data
- Your business retains all rights to its data, including its customer records and the emails you open. You give us permission to process that data only as needed to provide the Service, as described in the Privacy Policy.
- You confirm that your business has the right to hold the customer information in its webfaCe systems and to use it as the Service does, including under applicable privacy and anti-spam laws.
- Our handling of Google user data follows the Google API Services User Data Policy, including the Limited Use requirements, as set out in the Privacy Policy.
6. Acceptable use
You agree not to:
- use the Service to send spam or unsolicited bulk email, or to break any law, including Canada's Anti-Spam Legislation (CASL);
- use it to harass, deceive or harm anyone, or to process information you have no right to use;
- try to get around its security or access controls, or access data of a business you are not enabled for;
- copy, resell, reverse engineer or interfere with the Service, except where the law does not allow this restriction.
We may suspend access if we reasonably believe these terms are being broken or the Service is at risk, and we will tell you why where we can.
7. Our property
webfaCeMEdia and its licensors hold all rights in the Service, including its software, design and the webfaCe and webfaCeMEdia names and logos. These terms give you a limited, non-exclusive, non-transferable right to use the Service while you are enabled for it. If you send us feedback, we may use it without obligation to you.
8. Third-party services
The Service runs inside Gmail and relies on Google and on the service providers named in the Privacy Policy. Their services are governed by those providers' terms, and we are not responsible for them. If Google changes or limits add-on features, parts of the Service may change or stop working.
9. Availability and changes
We work to make the Service available and accurate, but it may sometimes be unavailable, slow, or show incomplete information, for example when a connected system can't be reached. We may update the Service, and these terms, from time to time. If a change to these terms is material, we will post it here and update the date above; continuing to use the Service after that means you accept the change.
10. Disclaimer
To the extent the law allows, the Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not promise that the Service or its drafts will be error-free.
11. Limitation of liability
To the extent the law allows, webfaCeMEdia is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising from the Service. Our total liability for any claim about the Service is limited to the greater of (a) the amounts your business paid webfaCeMEdia in the 3 months before the claim that are attributable to the Service, or (b) CAD $100. Nothing in these terms limits liability that cannot be limited by law.
12. Indemnity
You will defend and compensate webfaCeMEdia for claims, losses and costs (including reasonable legal fees) arising from emails you send, data you save, or your breach of these terms or of the law.
13. Ending use
You can stop using the Service at any time by uninstalling it and removing its access to your Google account (see how to uninstall). We may end or suspend your access as described in section 6, or when your business's webfaCe agreement ends. Sections 4, 5, 7, 10, 11, 12 and 14 continue after use ends.
14. Governing law
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. The courts located in Toronto, Ontario have exclusive jurisdiction over any dispute about them, unless the law where you live gives you the right to bring a claim elsewhere.
15. General
If part of these terms can't be enforced, the rest still applies. Not enforcing a term is not a waiver of it. You may not transfer these terms without our consent; we may transfer them as part of a merger, acquisition or sale of assets. These terms, the Privacy Policy and your business's agreement with webfaCeMEdia are the whole agreement about the Service; if they conflict, your business's signed agreement wins.
